1. Acceptance of Terms

By accessing or using the Emmtry platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We may modify these Terms at any time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

2. Description of Service

Emmtry provides a smart access control platform that enables you to manage electronic locks, grant access to visitors and team members, and monitor access activity. The Service includes:

  • Web-based management dashboard
  • Mobile applications for iOS and Android
  • Integration with compatible smart lock hardware
  • Access scheduling and visitor management
  • Activity logging and reporting

3. Account Registration and Security

To use the Service, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. Organizations must ensure that authorized users comply with these Terms.

4. User Responsibilities

When using the Service, you agree to:

  • Use the Service only for lawful purposes
  • Not attempt to gain unauthorized access to any part of the Service or other users' accounts
  • Not interfere with or disrupt the Service or servers/networks connected to the Service
  • Comply with all applicable local, state, national, and international laws and regulations
  • Maintain appropriate physical security measures for any hardware connected to the Service

5. Access Control Responsibilities

You acknowledge and agree that:

  • You are solely responsible for determining who has access to your premises through the Service
  • The Service is a tool to assist with access management, not a guarantee of security
  • You must maintain appropriate backup access methods (physical keys, emergency codes) in case of Service unavailability
  • Internet connectivity and power are required for the Service to function; you are responsible for ensuring these are available

6. Payment Terms

Certain features of the Service may require payment. If you subscribe to a paid plan:

  • You agree to pay all applicable fees as described at the time of purchase
  • If you are a consumer based in the EU/EEA, you have a 14-day right of withdrawal from the day the contract is concluded, in line with the Consumer Rights Directive (2011/83/EU). Where you begin using a paid digital service within the withdrawal period, you expressly acknowledge that you lose the right of withdrawal once performance has begun with your prior consent.
  • Beyond the statutory withdrawal period, fees are non-refundable except where required by applicable law or where we materially fail to provide the Service.
  • We may change pricing with 30 days' notice. If you do not agree to the new pricing, you may cancel before the change takes effect.

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by Emmtry and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to our data practices as described in the Privacy Policy.

You retain ownership of any data you submit to the Service. You grant us a limited license to use this data solely to provide and improve the Service.

9. Service Availability and Modifications

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with reasonable advance notice
  • Modify, suspend, or discontinue any part of the Service at any time
  • Update the Service to improve functionality, security, or compliance with laws

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EMMTRY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from unauthorized access to your premises
  • Service interruptions or failures beyond our reasonable control

Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

If you use the Service in connection with a business, trade, or profession (as a non-consumer), you agree to indemnify, defend, and hold harmless Emmtry and its affiliates from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

This indemnification obligation does not apply if you are using the Service as a consumer (as that term is defined under EU/EEA law). Nothing in this section limits any non-waivable consumer rights you may have.

12. Termination

You may terminate your account at any time through the Service settings. We may terminate or suspend your account, with reasonable advance notice where practicable, on the following grounds:

  • Material or repeated breach of these Terms
  • Non-payment of fees that remain unpaid after a reminder and a reasonable cure period
  • Fraudulent, unlawful, or abusive use of the Service, or use that risks the security of the Service or other users
  • A legal requirement, court order, or formal request from a competent authority
  • Discontinuation of the Service or a feature, with at least 30 days' advance notice where reasonable

Upon termination:

  • Your right to use the Service will cease
  • We will retain your data in accordance with our Privacy Policy
  • You may request export of your data before termination

13. Governing Law and Disputes

These Terms are governed by the laws of Sweden, excluding its conflict of law rules.

If you are a consumer based in the EU/EEA, you retain the protection of any mandatory rules of consumer law of the country where you are habitually resident, and you may bring proceedings in the courts of that country. The European Commission's online dispute resolution platform is available at https://ec.europa.eu/consumers/odr/.

For all other users, disputes arising from these Terms shall be resolved by the courts of Stockholm, Sweden, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Emmtry regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent.
